By accessing and using the services provided by Unemployers ("Company," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Unemployers. If you do not agree to these Terms, please do not use our services.
Unemployers provides professional consulting services including but not limited to business strategy, financial planning, operational optimization, and advisory services. Our services are designed to help clients achieve their business objectives through expert guidance and strategic recommendations.
All services are provided subject to availability and our professional capacity. We reserve the right to decline or discontinue services at our sole discretion.
Service fees are determined based on the scope of work, complexity, and duration of the engagement. All fees must be agreed upon in writing before commencement of services. Payment terms are net 30 days unless otherwise specified in the service agreement.
Overdue payments may be subject to interest charges at a rate of 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is lower. Interest accrues from the due date until payment is received in full.

Either party may terminate the engagement with 30 days written notice. Upon termination, all outstanding fees become immediately due and payable. Work product completed up to the termination date will be delivered upon receipt of payment.
All methodologies, frameworks, templates, and proprietary processes remain the intellectual property of Unemployers. Client-specific deliverables and recommendations become the property of the client upon full payment. Neither party may use the other's confidential information without written consent.
Our liability is limited to the total fees paid for the specific engagement. We are not liable for indirect, consequential, or punitive damages. Our recommendations are advisory in nature, and implementation decisions remain solely with the client. We make no warranties regarding specific outcomes or results.
We are committed to protecting client privacy and confidential information. Our data handling practices are governed by our Privacy Policy, which is incorporated by reference into these Terms. We implement appropriate security measures to protect client data and comply with applicable privacy regulations.
Client data may be retained for the duration of the engagement plus seven years for record-keeping purposes, unless otherwise required by law or regulation.
Our services are provided in accordance with generally accepted professional standards. We maintain professional liability insurance and adhere to ethical guidelines established by relevant professional organizations. Any conflicts of interest will be disclosed promptly.
Any disputes arising from these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the jurisdiction where our principal office is located. The prevailing party shall be entitled to recover reasonable attorney fees and costs.
These Terms are governed by the laws of the state in which our principal office is located, without regard to conflict of law principles. Any legal proceedings not subject to arbitration shall be brought in the courts of competent jurisdiction in that state.
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website or notification to clients. Continued use of our services after changes constitutes acceptance of the modified Terms. Material changes will be communicated with reasonable advance notice.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.
